These Terms of Use ("Terms") govern your access to and use of saas-studios.co.uk, the SaaS Studios External members platform and associated services (together, the "Platform").

The Platform is operated by SaaS Studios Ltd ("SaaS Studios", "we", "us" or "our").

By creating an account, becoming a member or using the Platform, you agree to these Terms.

If you do not agree to these Terms, you should not use the Platform.

2. About SaaS Studios External

SaaS Studios External is a business membership platform designed to help members discover, evaluate and access products, services, software, suppliers and other opportunities that may help their businesses operate, improve or grow.

The Platform may provide members with access to features including:

  • information about business products and services;

  • software and technology recommendations;

  • member offers or benefits;

  • business resources;

  • community information;

  • member feedback and reviews;

  • introductions to businesses or suppliers;

  • information about products identified through the SaaS Studios community; and

  • other services or opportunities made available from time to time.

The products, services and features available through membership may change as the Platform develops.

3. Membership

Certain areas and features of the Platform may only be available to registered members.

When creating or maintaining an account, you must provide information that is accurate and reasonably up to date.

You are responsible for activity undertaken through your account and for keeping your login credentials confidential.

You must not:

  • allow another person to use your account without our permission;

  • impersonate another person or organisation;

  • create an account using false or misleading information;

  • attempt to access another member's account; or

  • disclose your password or other security credentials in a way that could compromise your account.

You should contact us promptly if you believe your account has been accessed without permission.

4. Business Use

SaaS Studios External is intended primarily for businesses, business owners, professionals and people acting in connection with their trade, business or profession.

The Platform is not intended to provide products or services to children.

5. Products and Services Available Through the Platform

SaaS Studios may identify, introduce, recommend, promote or provide access to products and services that we believe may be useful to members.

These may include products or services:

  • provided directly by SaaS Studios;

  • provided by another SaaS Studios business or service;

  • provided in partnership with another organisation; or

  • supplied entirely by an independent third party.

The applicable provider and any additional terms relating to a particular product or service should be identified where appropriate.

6. Third-Party Products and Services

Some products, services, software, websites and opportunities available or discussed through the Platform are provided by independent third parties.

Unless expressly stated otherwise, SaaS Studios is not the provider of those third-party products or services.

Your purchase, subscription, licence or use of a third-party product or service may create a separate agreement between you and the relevant provider.

You should review the provider's applicable terms, privacy information, pricing and other conditions before entering into an agreement with them.

The inclusion, recommendation or discussion of a third-party product or service on the Platform does not mean that SaaS Studios:

  • owns or controls that provider;

  • guarantees the availability of the product or service;

  • guarantees that it will meet your particular requirements;

  • guarantees its performance, reliability or continued operation; or

  • accepts responsibility for the acts or omissions of the third-party provider.

7. Community Recommendations and Product Discovery

An important part of SaaS Studios External is learning from the experiences and requirements of its members.

Members may be invited to:

  • recommend products or services;

  • provide reviews or feedback;

  • share experiences;

  • identify problems they would like technology or other services to solve;

  • suggest products for SaaS Studios to investigate; or

  • contribute to discussions about business products and services.

SaaS Studios may use this information to research, evaluate and identify products or services that may be useful to the wider membership community.

A product being discussed, reviewed or recommended by members does not constitute a guarantee or endorsement by SaaS Studios.

Members should carry out their own assessment before purchasing or relying upon any product or service.

8. Reviews, Feedback and Member Contributions

Where the Platform allows you to submit reviews, comments, recommendations, feedback or other material ("Member Content"), you remain responsible for the content you submit.

You must ensure that Member Content:

  • reflects your genuine experience or opinion where presented as such;

  • is accurate to the best of your knowledge;

  • is relevant to the subject being discussed;

  • does not deliberately mislead other members;

  • does not infringe another person's intellectual property rights;

  • does not disclose confidential information without permission;

  • does not contain unlawful, defamatory, threatening, abusive or discriminatory material;

  • does not contain malicious software or harmful code; and

  • complies with applicable law.

You must not submit fake reviews or deliberately manipulate ratings, feedback or other community features.

9. How We May Use Member Content

By submitting Member Content to an area of the Platform intended for sharing with other members, you give SaaS Studios permission to display, reproduce and use that content as reasonably necessary to operate and promote the Platform and provide its services.

You retain ownership of any intellectual property rights you hold in your Member Content.

We may also use aggregated or anonymised information derived from feedback and Member Content to understand member requirements, evaluate products and improve SaaS Studios External.

We will handle personal information contained within Member Content in accordance with our Privacy Policy.

10. Moderation and Removal of Content

We may, but are not obliged to, review Member Content.

We reserve the right to remove, restrict or refuse to publish content where we reasonably believe that it:

  • breaches these Terms;

  • may be unlawful;

  • infringes another person's rights;

  • creates a security risk;

  • is misleading or fraudulent;

  • is inappropriate for the Platform; or

  • may materially harm SaaS Studios, another member or a third party.

The fact that content remains available on the Platform does not mean that SaaS Studios has verified or endorsed it.

11. Acceptable Use

You must use the Platform lawfully and responsibly.

You must not:

  • use the Platform for fraudulent or unlawful purposes;

  • attempt to gain unauthorised access to the Platform or its systems;

  • interfere with the security or operation of the Platform;

  • introduce viruses, malware or other harmful technology;

  • scrape, harvest or systematically extract member information without permission;

  • use member information for unsolicited marketing contrary to applicable law;

  • send spam or abusive communications through the Platform;

  • attempt to reverse engineer or circumvent technical protections;

  • misuse another member's personal or business information;

  • use automated systems to access the Platform in a manner that places an unreasonable burden on our systems; or

  • use the Platform in a way that materially interferes with another person's use of it.

12. Member Information and Privacy

You must treat information about other members responsibly.

Access to information through your membership does not give you unrestricted permission to copy, distribute, sell or use that information for unrelated purposes.

Personal information must be handled in accordance with applicable data protection and electronic communications laws.

13. No Sale of Member Data

SaaS Studios does not sell member personal data.

Access to the Platform or participation in the SaaS Studios community does not give another member, supplier or third party ownership of member personal information.

14. Intellectual Property

Unless otherwise stated, the Platform and its original content, software, branding, design, graphics, databases and other materials are owned by or licensed to SaaS Studios Ltd.

Nothing in these Terms transfers ownership of our intellectual property to you.

You may use the Platform and its content for legitimate purposes connected with your membership.

You must not reproduce, distribute, commercially exploit, modify or create derivative works from our intellectual property without permission, except where permitted by law.

Third-party names, logos, trademarks, products and other intellectual property remain the property of their respective owners.

15. Availability of the Platform

We aim to provide a reliable Platform but cannot guarantee uninterrupted or error-free availability.

The Platform may occasionally be unavailable because of:

  • maintenance;

  • upgrades;

  • technical problems;

  • security incidents;

  • failures affecting third-party infrastructure; or

  • circumstances outside our reasonable control.

We may change, suspend, replace or discontinue features where reasonably necessary.

16. Information Provided Through the Platform

Information made available through SaaS Studios External is provided for general business information and discovery purposes.

Although we aim to provide useful and accurate information, we cannot guarantee that all information will always be complete, accurate or current.

Product features, pricing, availability and supplier terms may change without notice.

Members should verify information directly with the relevant provider before making significant purchasing, financial, legal, technical or business decisions.

17. Business Decisions

You remain responsible for decisions you make based on information, recommendations, reviews or introductions obtained through the Platform.

SaaS Studios does not provide legal, accounting, financial, tax or other regulated professional advice unless expressly stated otherwise.

Where appropriate, you should obtain independent professional advice before making significant business decisions.

18. Suspension and Termination

We may suspend or terminate access to the Platform where we reasonably believe that:

  • these Terms have been materially breached;

  • the Platform has been misused;

  • an account creates a security risk;

  • fraudulent or unlawful activity has occurred;

  • another member or third party may be at risk;

  • continued access may expose SaaS Studios to legal or regulatory risk; or

  • suspension or termination is otherwise reasonably necessary to protect the Platform or its community.

Where appropriate and reasonably practicable, we may provide an opportunity to address a breach before terminating membership.

19. Ending Your Membership

You may request to close your account or end your membership in accordance with the membership arrangements applicable to you.

Ending membership may result in loss of access to member-only areas, benefits, offers, resources and other features of the Platform.

Certain information may be retained following closure where necessary for legal, regulatory, accounting, security or legitimate business purposes, as explained in our Privacy Policy.

20. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to this, and to the maximum extent permitted by law, SaaS Studios will not be responsible for indirect or consequential losses arising from use of the Platform.

We are not responsible for losses arising from the acts, omissions, products, services, systems or websites of independent third parties, except where liability cannot lawfully be excluded.

Because SaaS Studios External is intended for business use, we will not be responsible for loss of profits, loss of revenue, loss of business opportunities, loss of anticipated savings, loss of goodwill or business interruption to the extent permitted by law.

21. Changes to the Platform

We may develop and change SaaS Studios External over time.

This may include:

  • adding or removing features;

  • introducing new products or services;

  • changing suppliers;

  • changing membership benefits;

  • changing how community features operate; or

  • discontinuing products, services or functionality.

We do not guarantee that any particular feature, supplier, product, offer or benefit will remain available indefinitely.

22. Changes to These Terms

We may update these Terms where necessary to reflect changes to:

  • SaaS Studios External;

  • our products or services;

  • membership arrangements;

  • technology;

  • legal or regulatory requirements; or

  • our business practices.

The current version will be published on the Platform and the "Last updated" date will be amended.

Where a change materially affects an existing member's rights or obligations, we will take reasonable steps to bring the change to their attention where appropriate.

23. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

24. No Waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.

25. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.

As SaaS Studios External is intended primarily for business users, the courts of England and Wales will have jurisdiction over disputes arising in connection with these Terms, subject to any mandatory legal rights that may apply.
